These Terms and Conditions ("Terms", "Agreement") govern your access to and use of Plexus Connect ("Plexus Connect", "Plexus", "Platform", "we", "us", or "our"), including the Plexus Connect website, mobile or web applications, advertising services, subscription programs, wallet services, rewards, referral programs, and Plexus Market.
By registering an account, accessing the Platform, funding your wallet, purchasing a subscription, viewing advertisements, participating in promotional or referral activities, creating or responding to a Plexus Market request, purchasing or selling through Plexus Market, requesting a withdrawal, or otherwise using any part of the Platform, you confirm that you have read, understood, accepted, and agreed to be legally bound by these Terms.
If you do not agree to these Terms, you must not register, access, fund, or use the Platform.
These Terms apply together with any applicable Platform rules, program guidelines, Market rules, advertising policies, privacy policies, notices, instructions, and other policies published by Plexus Connect from time to time.
1. PLATFORM DESCRIPTION
Plexus Connect is a digital marketing, advertising, technology, and online services platform.
The Platform may provide users with access to:
Paid-To-Click (PTC) advertising activities.
Digital advertising services.
Subscription-based Platform features.
Referral and promotional programs.
Advertising campaign participation.
Reward programs.
Wallet and account-credit functionality.
Plexus Market.
Product and service promotion tools.
Other digital products, services, features, and activities introduced by Plexus Connect.
Plexus Connect is not an investment platform, savings scheme, securities offering, deposit-taking institution, bank, investment company, cryptocurrency investment scheme, or financial institution.
Nothing on the Platform constitutes an offer, solicitation, recommendation, or promise to invest money for financial returns.
Subscription purchases are access fees for Platform features and participation rights. They are not investments, deposits, securities, loans, or capital contributions.
Plexus Connect does not guarantee profits, investment returns, passive income, fixed returns, or any specific level of earnings.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
Users must provide accurate, complete, and current information when creating an account.
You are responsible for:
Maintaining the confidentiality of your login credentials.
Securing access to your account.
Providing accurate account information.
Updating inaccurate or outdated information.
All activities performed through your account unless caused by a proven Platform security failure.
You must not:
Create multiple accounts for yourself.
Create accounts using false identities.
Register accounts on behalf of another person without authorization.
Transfer, sell, rent, or lend your account.
Allow another person to use your account.
Circumvent account restrictions.
Use another user's account.
Plexus Connect may require account verification at any time where reasonably necessary for security, compliance, fraud prevention, withdrawals, Market activity, or other legitimate Platform purposes.
3. WALLET AND PLATFORM BALANCES
The Platform may provide users with internal wallet balances and account balances for Platform functionality.
Wallet balances may be used for approved purposes including:
Subscription purchases.
Advertising services.
Plexus Market transactions where applicable.
Promotional services.
Other approved Platform features.
A Platform wallet is an internal accounting facility and does not constitute a bank account, deposit account, savings account, investment account, or custodial financial account.
Wallet Top-Ups
Payments made to fund a Platform wallet are treated as wallet top-ups for use within the Platform.
Wallet top-ups are:
Voluntary.
Subject to applicable payment processing rules.
Generally final once successfully credited.
Non-refundable except where Plexus Connect expressly determines otherwise or applicable law requires otherwise.
A wallet top-up does not automatically become withdrawable funds.
Deposited funds may only be used or withdrawn where expressly permitted by the applicable Platform feature and these Terms.
Users are responsible for ensuring that payment information and transaction details supplied by them are accurate.
Plexus Connect is not responsible for losses resulting from incorrect payment information supplied by a user.
Plexus Connect may delay, reverse, restrict, or investigate a wallet transaction where fraud, payment reversal, chargeback, technical error, unauthorized activity, or other irregularity is suspected.
4. SUBSCRIPTION PLANS
Subscription plans provide access to specified Platform features, advertising activities, promotional opportunities, rewards, or other benefits described for the applicable plan.
Unless otherwise expressly stated:
A subscription runs for twelve (12) months from activation.
Subscription benefits depend on the applicable plan.
Subscription access does not constitute an investment.
Subscription fees are access fees.
Subscription purchases are generally final and non-refundable once activated.
A subscription does not guarantee:
Any particular amount of earnings.
Any particular number of advertisements.
Any particular number of referrals.
Any particular referral reward.
Any fixed daily income.
Any fixed monthly income.
Any profit.
Any return of the subscription fee.
Availability of Platform opportunities depends on factors including advertising demand, campaign budgets, Platform activity, user participation, system allocation, eligibility, and applicable program rules.
Plexus Connect may modify, suspend, replace, or discontinue a subscription plan subject to applicable law and these Terms.
5. ADVERTISEMENTS AND EARNING OPPORTUNITIES
Advertisements displayed on Plexus Connect may be funded by third-party advertisers or by Plexus Connect.
Advertisement availability may depend on:
Advertiser demand.
Campaign budgets.
User eligibility.
Subscription status.
Geographic targeting.
Account status.
Platform allocation.
Campaign duration.
Daily or other applicable limits.
Technical availability.
Plexus Connect does not guarantee:
A fixed number of advertisements.
Continuous advertisement availability.
Daily earning opportunities.
Any particular advertising reward.
Any particular income.
Continued participation in any advertising campaign.
Displayed advertising limits represent available opportunities and do not constitute guaranteed earnings.
Plexus Connect may remove, modify, suspend, reject, or discontinue an advertising campaign at any time where reasonably necessary.
6. EARNINGS, TOTAL BALANCE AND AVAILABLE BALANCE
The Platform may display different categories of balances.
Total Balance
Total Balance represents rewards or other eligible credits recorded by the Platform.
Total Balance does not necessarily represent funds immediately available for withdrawal.
Available Balance
Available Balance represents the portion of an account balance that is currently eligible for withdrawal under applicable Platform rules.
Only amounts classified as Available Balance may be eligible for withdrawal.
Plexus Connect may apply eligibility, verification, conversion, processing, compliance, or other requirements before a balance becomes available for withdrawal.
A displayed balance does not constitute an unconditional promise by Plexus Connect to pay the displayed amount in cash.
7. DISPLAYED VALUES AND WITHDRAWAL CONVERSION
Plexus Connect may, at its discretion, display certain subscriber rewards or other Platform values at enhanced, promotional, or presentation values.
The displayed value may differ from the final amount payable or convertible during withdrawal.
Withdrawal calculations are subject to the applicable withdrawal conversion rate and rules in effect when the withdrawal is processed.
Conversion rates may vary according to:
Withdrawal currency.
Withdrawal method.
Platform conversion rates.
Payment processing requirements.
Operational conditions.
Applicable transaction costs.
Other legitimate factors determined by Plexus Connect.
A displayed Platform value is not a guaranteed fixed cash value or guaranteed exchange rate.
Users are responsible for reviewing the applicable conversion information before submitting withdrawal requests.
Plexus Connect may change applicable conversion rates and display methodologies from time to time.
8. REWARD UNLOCKING
Rewards generated through advertisements, promotions, referrals, or other Platform activities may initially be credited to Total Balance or another restricted balance category.
Plexus Connect may establish requirements for making such rewards available for withdrawal.
Unlocking requirements may depend on:
Account status.
Subscription status.
User activity.
Compliance.
Verification.
Applicable program rules.
Promotional conditions.
Other legitimate Platform requirements.
The existence of a Total Balance does not create an unconditional or immediate withdrawal entitlement.
9. REFERRAL PROGRAM
Participation in the referral program is optional.
Referrals are not mandatory for:
Account registration.
Subscription purchase.
Access to ordinary advertising activities.
Standard withdrawal eligibility.
Where available, users may earn referral rewards or promotional incentives in accordance with the applicable referral program.
Referral rewards may depend on:
The referred user's eligibility.
Subscription activation.
Applicable plan.
Account verification.
Compliance with Platform rules.
Promotional conditions.
The continued validity of the qualifying activity.
No particular referral result or reward is guaranteed.
Plexus Connect may modify, suspend, limit, replace, or discontinue any referral program.
Users must not:
Spam referral links.
Misrepresent Plexus Connect.
Make false income claims.
Promise guaranteed returns.
Use deceptive advertising.
Create fake accounts.
Manipulate referral attribution.
Use bots or automated systems.
Engage in misleading recruitment practices.
Referral activity is intended for legitimate marketing and Platform growth purposes.
10. BONUS AND PROMOTIONAL REWARDS
Plexus Connect may provide promotional rewards, bonuses, balance increases, incentives, or other benefits.
Such benefits may be subject to specific eligibility requirements.
Unless expressly stated otherwise, promotional rewards are discretionary and may be modified, suspended, reduced, cancelled, or discontinued.
A promotional reward does not create a permanent contractual entitlement to future rewards.
Plexus Connect may reverse rewards obtained through fraud, abuse, technical errors, manipulation, or violation of applicable rules.
11. WITHDRAWALS
Withdrawals are subject to applicable Platform rules, verification, compliance checks, available balance requirements, and processing procedures.
Minimum Withdrawal
Unless otherwise stated by Plexus Connect, the minimum single withdrawal amount is:

Plexus Connect may modify the minimum withdrawal amount where reasonably necessary.
Withdrawal Requirements
A user may be required to:
Maintain sufficient Available Balance.
Complete applicable account verification.
Complete KYC where required.
Provide accurate withdrawal information.
Satisfy applicable withdrawal conditions.
Comply with Platform rules.
Plexus Connect may:
Review withdrawal requests.
Verify the source and validity of rewards.
Request additional information.
Delay processing while an investigation is conducted.
Reject fraudulent or invalid withdrawals.
Reverse fraudulent rewards.
Restrict withdrawals associated with suspected abuse.
Suspend withdrawals where required for security or compliance purposes.
Withdrawal processing times may vary according to Platform schedules, weekends, public holidays, payment providers, verification requirements, and operational circumstances.
Wallet deposits and subscription fees do not become withdrawable merely because they have been credited or paid.
12. ADVERTISING SERVICES
Users may purchase advertising services through Plexus Connect.
Advertising fees are service fees and are generally non-refundable once a campaign or service has been activated.
Plexus Connect does not guarantee:
Sales.
Leads.
Traffic.
Conversions.
Revenue.
Customer acquisition.
Engagement.
Business growth.
Any specific advertising result.
Advertisers remain responsible for:
The legality of their products and services.
The accuracy of advertisements.
Claims made in advertisements.
Intellectual property rights.
Regulatory compliance.
The legality of promotional materials.
Plexus Connect may approve, reject, suspend, modify, or remove advertisements at its discretion where an advertisement violates Platform rules, applicable law, third-party rights, or reasonable safety standards.
13. PLEXUS MARKET
Plexus Market is a Platform feature that allows eligible users to create and respond to requests for products, services, or other permitted transactions.
Plexus Market is a marketplace and transaction coordination feature. It is not an investment marketplace, securities exchange, lending platform, deposit-taking service, or financial investment product.
Plexus Connect does not guarantee the quality, legality, delivery, performance, ownership, availability, or suitability of any product or service offered by another user.
Users participate in Plexus Market at their own risk and must conduct appropriate due diligence.
14. MARKET REQUEST CREATION
Eligible users may create Market requests subject to applicable Platform rules.
Creating a Market request does not automatically create a completed transaction.
A Market request may require administrative approval before it becomes visible or available to other users.
Plexus Connect may reject, modify, suspend, hide, or remove a request where it:
Violates Platform rules.
Appears fraudulent.
Involves prohibited goods or services.
Contains misleading information.
Creates unreasonable risk.
Violates applicable law.
Is abusive or deceptive.
Is technically invalid.
Is otherwise unsuitable for the Platform.
The user who creates a request is responsible for ensuring that the request is accurate and lawful.
15. MARKET REQUEST APPROVAL
Plexus Connect may review Market requests before publication.
Administrative approval confirms only that the request has passed the Platform's applicable review process.
Approval does not constitute:
An endorsement.
A guarantee.
Verification of the seller.
Verification of the product.
Verification of ownership.
A guarantee of performance.
A guarantee that the transaction will be completed.
Plexus Connect may subsequently suspend or remove an approved request if new information becomes available.
16. MARKET SELLER APPLICATIONS
Where a Market request permits seller applications, eligible users may apply to fulfil the request.
A seller application does not guarantee selection.
The buyer may select a seller from eligible applicants in accordance with the applicable Market workflow.
Plexus Connect may apply an application fee or other applicable Market fee.
Where applicable, the current seller application fee is 1% of the relevant order amount.
Applicable fees are Platform service fees and are not investment charges.
Plexus Connect may change Market fees by publishing updated rules or pricing.
17. MARKET BUYER BALANCE REQUIREMENTS
Creating or submitting a Market request does not automatically require the buyer to maintain the full order amount in their Available Balance.
Where applicable, the buyer's balance requirement is assessed when the buyer attempts to accept a seller's application or otherwise enter the relevant transaction stage.
If the required balance is insufficient at that stage, the Platform may prevent the transaction from proceeding.
Plexus Connect may place qualifying transaction amounts into a restricted or locked Platform balance while a Market transaction is in progress.
18. MARKET TRANSACTION PROCESS
A Market transaction may generally progress through stages including:
Pending administrative approval.
Open.
Seller selected.
Accepted.
Completed.
Disputed.
Confirmed.
Cancelled.
Expired.
The exact stages available may depend on the applicable Market workflow.
A transaction does not become completed merely because a seller has applied.
The buyer's acceptance of a seller application may create the applicable transaction obligation between the participating users, subject to these Terms and the Market rules.
19. LOCKED MARKET FUNDS
Where the Market workflow requires buyer funds to be secured, Plexus Connect may restrict or lock the applicable amount from the buyer's available Product Balance.
Locked funds may not be available for ordinary withdrawal or other Platform use while the transaction remains subject to the applicable Market process.
The locked amount may remain restricted until:
The transaction is confirmed.
The transaction is cancelled.
A dispute is resolved.
The transaction otherwise reaches a Platform-defined final state.
Locking funds does not constitute an investment, interest-bearing deposit, or financial service.
Plexus Connect does not pay interest on locked Market amounts.
20. SELLER COMPLETION
After acceptance, the seller is responsible for performing the agreed obligation accurately and within the applicable timeframe.
A seller must not falsely claim completion.
Where a seller marks an order as completed, the buyer may be required to review the transaction and confirm whether the agreed obligation has been fulfilled.
False completion claims may result in:
Transaction reversal where possible.
Account restrictions.
Earnings or fee forfeiture.
Market restrictions.
Account suspension.
Permanent termination.
Further action where appropriate.
21. BUYER CONFIRMATION
Where the Market workflow requires buyer confirmation, the buyer is responsible for reviewing the seller's performance before confirming completion.
Once a transaction is confirmed, the Platform may release or transfer the applicable locked amount according to the Market system.
Users must not falsely confirm a transaction.
A confirmation may be treated as final for Platform purposes except where:
Fraud is established.
System error is established.
The transaction is subject to an active dispute.
Applicable law requires otherwise.
Plexus Connect determines that intervention is necessary to prevent abuse or protect the Platform.
22. MARKET DISPUTES
A buyer or seller may initiate a dispute where permitted by the Market workflow.
A dispute may place the transaction into a disputed state and may preserve the applicable previous transaction status for Platform review.
Plexus Connect may request evidence from one or both parties.
Evidence may include:
Messages.
Screenshots.
Transaction records.
Delivery evidence.
Service evidence.
Relevant documents.
Other information reasonably required to investigate the dispute.
Users must provide truthful and complete information.
Submitting false evidence, fabricated documents, manipulated screenshots, or deceptive claims is prohibited.
23. MARKET DISPUTE DECISIONS
Plexus Connect may review and determine a Market dispute according to the available evidence and applicable Platform rules.
Plexus Connect may:
Release locked funds.
Return locked funds to the buyer.
Transfer applicable funds to the seller.
Cancel the transaction.
Require additional evidence.
Restrict one or both accounts.
Take other reasonable action necessary to resolve the transaction.
Plexus Connect's Market dispute process is an internal Platform resolution mechanism and does not make Plexus Connect a court, arbitrator, financial institution, escrow company, or insurer.
Nothing in these Terms prevents a user from exercising rights available under applicable law.
24. MARKET DISPUTE CANCELLATION
Where the Market workflow permits a dispute to be cancelled, the user who initiated the dispute may cancel that dispute.
Cancellation of a dispute does not necessarily cancel the underlying Market transaction.
The underlying transaction may return to its applicable previous status in accordance with the Market workflow.
A buyer may cancel an order where the Platform provides a cancellation function and the applicable cancellation conditions are satisfied.
25. MARKET CANCELLATION
Market orders may be cancelled where permitted by the applicable order status and Platform rules.
A cancellation may result in:
Release of applicable locked funds.
Reversal of applicable transaction restrictions.
Application of a cancellation fee where applicable.
Removal of the transaction from active Market listings.
Where applicable, the current cancellation fee is 1%.
Plexus Connect may determine the party responsible for applicable fees based on the transaction circumstances and Market rules.
Cancellation does not automatically create liability against Plexus Connect for any loss claimed by either participant.
26. MARKET EXPIRATION
Open Market requests may expire automatically if they remain unaccepted for the applicable period.
Unless a different period is displayed for a particular Market feature:
An open request may expire after thirty (30) days if no qualifying seller has been accepted.
Expired requests may be removed from active listings.
Where the Platform permits, users may create or reopen a new request subject to applicable rules.
Expiration does not constitute a guarantee of transaction completion or compensation.
27. MARKET FEES
Plexus Connect may charge fees for Market services, including but not limited to:
Seller application fees.
Cancellation fees.
Promotional fees.
Listing fees.
Other disclosed Market service fees.
Unless expressly stated otherwise, Market fees are service charges and are not investments, deposits, commissions on securities, or financial returns.
Applicable fees may be deducted automatically from the relevant Platform balance where permitted.
Users are responsible for reviewing applicable fees before completing a chargeable Market action.
28. MARKET PROMOTIONS
Plexus Market may provide promotional placement for eligible open requests.
Where available, promotional placement may be charged based on the applicable promotional rate and duration.
Promotional placement does not guarantee:
Seller applications.
Transaction completion.
Sales.
Responses.
Revenue.
Successful fulfilment.
Plexus Connect may reject or remove promotional requests that violate Platform rules.
29. MARKET USER RESPONSIBILITIES
Users participating in Plexus Market must:
Provide accurate information.
Act honestly.
Honour accepted transactions.
Communicate in good faith.
Avoid deceptive conduct.
Provide lawful products or services.
Respect applicable intellectual property rights.
Avoid prohibited goods and services.
Follow Market procedures.
Cooperate with reasonable dispute investigations.
Users must not use Plexus Market to facilitate:
Fraud.
Money laundering.
Terrorist financing.
Stolen goods.
Counterfeit goods.
Illegal drugs.
Weapons prohibited by law.
Stolen financial information.
Unauthorized financial services.
Pyramid or Ponzi schemes.
Securities offerings.
Unlicensed investment schemes.
Illegal gambling.
Identity theft.
Malware or malicious software.
Any other unlawful activity.
Plexus Connect may immediately suspend or remove transactions involving suspected prohibited activity.
30. NO GUARANTEE OF MARKET TRANSACTIONS
Plexus Connect provides Market infrastructure and transaction functionality.
Plexus Connect does not guarantee:
That a buyer will find a seller.
That a seller will be selected.
That a seller will perform.
That a buyer will confirm completion.
That a product or service will meet expectations.
That a transaction will generate profit.
That a Market request will receive responses.
That a transaction will remain available.
That any user will complete a transaction.
Users remain responsible for their own commercial decisions.
31. PROHIBITED ACTIVITIES
Users must not:
Operate multiple accounts.
Manipulate Platform systems.
Use bots or unauthorized automation.
Exploit bugs or vulnerabilities.
Manipulate advertisements.
Manipulate referral attribution.
Generate fraudulent views.
Submit fraudulent withdrawal requests.
Provide false KYC information.
Upload fraudulent documents.
Manipulate Market transactions.
Create fake Market transactions.
Conduct self-dealing intended to manipulate Platform statistics or rewards.
Use chargebacks to reverse legitimate Platform payments after receiving Platform credit or services.
Launder funds.
Facilitate unlawful transactions.
Misrepresent Plexus Connect.
Make guaranteed-income claims.
Impersonate Plexus Connect.
Abuse customer support or dispute systems.
Submit knowingly false complaints.
Attempt to circumvent account restrictions.
Reverse-engineer or attack Platform systems.
Introduce malicious code.
Interfere with Platform operations.
Use the Platform for unlawful purposes.
Plexus Connect may take any reasonable action necessary to protect the Platform, its users, advertisers, service providers, and systems.
32. FRAUD, ABUSE AND IRREGULAR ACTIVITY
Where Plexus Connect reasonably suspects fraud, abuse, manipulation, unauthorized activity, or violation of these Terms, it may:
Suspend an account.
Restrict account functionality.
Restrict withdrawals.
Freeze or restrict relevant balances pending investigation.
Cancel fraudulent rewards.
Reverse erroneous credits.
Remove Market transactions.
Restrict Market participation.
Require additional verification.
Terminate the account.
Preserve relevant records.
Report activity to appropriate authorities where required or permitted by law.
Plexus Connect is not required to disclose investigation methods where doing so could compromise security, fraud prevention, or legal compliance.
33. ACCOUNT SUSPENSION AND TERMINATION
Plexus Connect may suspend, restrict, or terminate an account where reasonably necessary, including where:
These Terms are violated.
Fraud is suspected.
Security risks arise.
Unlawful activity is suspected.
False information is provided.
Platform abuse is detected.
Payment reversals or chargebacks occur.
Market abuse occurs.
KYC or verification requirements are not satisfied.
Legal or regulatory requirements require action.
Termination may result in loss of access to Platform features.
Where legally permissible, Plexus Connect may retain records required for security, accounting, legal, regulatory, dispute, or fraud-prevention purposes.
34. PLATFORM CHANGES AND AVAILABILITY
Plexus Connect may modify, suspend, replace, or discontinue any Platform feature, program, service, reward structure, Market function, subscription benefit, advertising system, or promotional program.
The Platform may occasionally be unavailable because of:
Maintenance.
Technical failures.
Security incidents.
Internet or telecommunications failures.
Third-party service failures.
Payment-provider interruptions.
Force majeure events.
Government action.
Other circumstances beyond reasonable Platform control.
Plexus Connect does not guarantee uninterrupted or error-free operation.
35. THIRD-PARTY SERVICES AND PAYMENT PROVIDERS
Plexus Connect may rely on third-party payment processors, telecommunications providers, hosting providers, advertising providers, blockchain networks, financial service providers, or other external service providers.
Plexus Connect is not responsible for delays, outages, errors, restrictions, or failures caused by third-party providers beyond its reasonable control.
Third-party services may have their own terms and policies.
36. TAXES
Users are responsible for determining and complying with any tax obligations arising from their use of Plexus Connect, including applicable taxes relating to rewards, advertising activities, Market transactions, business income, or other payments.
Plexus Connect does not provide tax, accounting, or legal advice.
Where required by law, Plexus Connect may provide information to relevant authorities or apply applicable reporting or withholding requirements.
37. INTELLECTUAL PROPERTY
Plexus Connect and its licensors retain all rights in the Platform's software, branding, logos, designs, content, systems, trademarks, interfaces, and other proprietary materials except where ownership belongs to a third party.
Users may not copy, reproduce, modify, distribute, sell, reverse engineer, exploit, or commercially reproduce Platform materials without appropriate authorization.
Users retain ownership of lawful content they submit but grant Plexus Connect the permissions reasonably necessary to host, process, display, distribute, moderate, and operate such content through the Platform.
38. USER-GENERATED CONTENT
Users are responsible for content they upload, publish, submit, or communicate through the Platform.
Users must not submit content that:
Is unlawful.
Is fraudulent.
Is defamatory.
Infringes intellectual property rights.
Contains malicious software.
Contains deceptive claims.
Promotes prohibited activity.
Violates another person's rights.
Violates Platform policies.
Plexus Connect may remove or restrict content that violates these Terms.
39. PRIVACY AND DATA
Plexus Connect may collect and process information necessary to operate the Platform, provide services, prevent fraud, verify accounts, process transactions, maintain security, and comply with applicable law.
Users should review the applicable Plexus Connect Privacy Policy for further information regarding data handling.
By using the Platform, users acknowledge that certain information may be required to operate particular features.
40. DISCLAIMERS
To the fullest extent permitted by applicable law, the Platform and its services are provided on an "as is" and "as available" basis.
Plexus Connect does not warrant that:
The Platform will always be available.
The Platform will be error-free.
All information will always be accurate or current.
Every advertisement will be available.
Every reward opportunity will remain available.
Every Market participant will act honestly.
Every Market transaction will be successfully completed.
Every advertiser will perform as expected.
Any user will earn a particular amount.
Users assume responsibility for their decisions and use of the Platform.
41. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Plexus Connect, its owners, operators, employees, contractors, affiliates, service providers, and representatives shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from use of the Platform.
This includes, where legally permissible:
Loss of profits.
Loss of business.
Loss of anticipated earnings.
Loss of advertising results.
Loss of Market opportunities.
Loss caused by another user.
Loss caused by an advertiser.
Banking or payment delays.
Third-party service failures.
Internet interruptions.
Technical failures.
User errors.
Unauthorized access not caused by Plexus Connect's proven failure to maintain reasonable security.
Market transaction disputes between users.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
42. INDEMNIFICATION
To the fullest extent permitted by law, you agree to indemnify and hold harmless Plexus Connect, its owners, operators, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:
Your violation of these Terms.
Your unlawful conduct.
Your misuse of the Platform.
Your Market transactions.
Your advertising content.
Your infringement of another person's rights.
Fraud or abuse associated with your account.
Your violation of applicable law.
Disputes between you and another user.
This obligation applies to the extent permitted by applicable law.
43. NO AGENCY OR PARTNERSHIP
Use of Plexus Connect does not create:
An employment relationship.
A partnership.
A joint venture.
An agency relationship.
A fiduciary relationship.
An investment relationship.
Users act independently unless expressly agreed otherwise in writing.
Participation in Plexus Market does not make Plexus Connect a party to the underlying commercial agreement between users except to the limited extent expressly provided by the Platform's transaction workflow.
44. MARKET USER-TO-USER TRANSACTIONS
Where users transact with one another through Plexus Market, the underlying commercial relationship is primarily between the participating users.
Plexus Connect provides technological infrastructure and Platform processes but does not become the seller, buyer, manufacturer, service provider, employer, guarantor, insurer, or owner of products or services merely because a transaction is processed through Plexus Market.
Users are responsible for assessing the identity, reputation, capability, legality, and performance of other users.
45. FORCE MAJEURE
Plexus Connect shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
Natural disasters.
War.
Civil unrest.
Government action.
Internet failures.
Telecommunications failures.
Cybersecurity incidents.
Power failures.
Payment network failures.
Blockchain network failures.
Strikes.
Epidemics or pandemics.
Acts of third-party providers.
Other events beyond reasonable control.
46. AMENDMENTS
Plexus Connect may amend these Terms, Market rules, subscription rules, advertising policies, withdrawal rules, referral rules, or other Platform policies from time to time.
Updated Terms become effective upon publication unless a different effective date is stated.
Users are responsible for reviewing the current Terms.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms.
Where required by applicable law, Plexus Connect will provide any additional notice required for material changes.
47. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.
The remaining provisions shall continue in full force and effect.
48. WAIVER
Failure by Plexus Connect to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision in the future.
Any waiver must be expressly made by an authorized representative of Plexus Connect.
49. ENTIRE AGREEMENT
These Terms, together with applicable Platform policies, Market rules, subscription rules, advertising policies, Privacy Policy, and other published rules expressly incorporated into these Terms, constitute the agreement between the user and Plexus Connect concerning use of the Platform.
They supersede previous representations or understandings concerning the same subject matter to the extent permitted by law.
50. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that cannot lawfully be excluded.
Any dispute arising from or relating to these Terms or use of Plexus Connect shall be subject to the jurisdiction of the competent courts of Nigeria, subject to applicable law.
51. ACCEPTANCE
By accessing or using Plexus Connect, you acknowledge and agree that:
Plexus Connect is a digital marketing, advertising, technology, and online services platform.
Plexus Connect is not an investment platform, savings scheme, securities offering, bank, or financial institution.
Subscription fees are access fees and are not investments.
Wallet top-ups are for approved Platform use and are not automatically withdrawable.
Subscription purchases and wallet top-ups are generally non-refundable except where applicable law requires otherwise or Plexus Connect expressly provides otherwise.
Advertising opportunities are subject to availability.
Earnings are not guaranteed.
Displayed values may differ from final withdrawal values.
Withdrawal conversion rates may change.
Withdrawals are subject to applicable eligibility, verification, conversion, and processing requirements.
Referrals are optional.
Referral rewards are not guaranteed.
Bonus rewards are discretionary unless expressly stated otherwise.
Plexus Market is a marketplace and transaction-coordination feature and is not an investment or financial product.
Market users are responsible for their own transactions and conduct.
Market requests may require administrative approval.
Seller applications do not guarantee selection.
Applicable Market fees may be charged.
Buyer funds may be locked when required by the Market workflow.
Market transactions may be disputed, cancelled, or expired according to applicable rules.
Open Market requests may expire after thirty (30) days where no seller has been accepted, unless otherwise stated.
Market disputes may require evidence and Platform review.
Plexus Connect does not guarantee the performance, legality, quality, delivery, or suitability of another user's product or service.
Users must not use Plexus Market or any other Platform feature for unlawful activity.
Fraudulent, deceptive, abusive, or manipulative conduct may result in suspension, balance restrictions, forfeiture of fraudulent rewards, termination, and legal action where appropriate.
KYC or additional verification may be required.
Plexus Connect may suspend or restrict accounts where fraud, abuse, security risks, or violations are suspected.
The Platform may be modified, suspended, or discontinued.
Plexus Connect does not guarantee income, profits, fixed returns, or specific earning outcomes.
Users are responsible for complying with applicable laws and their own tax obligations.
Users participate voluntarily and at their own risk.
Continued use of Plexus Connect constitutes acceptance of the current Terms and applicable Platform policies.
