TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern access to and use of Plexus Connect, including its website, applications, advertising services, subscriptions, Paid-To-Click (PTC) activities, subscriber advertising, viewing rewards, games, referrals, promotional campaigns, wallet functionality, withdrawals, Plexus Market and related services.

Plexus Connect may be referred to as "Plexus", "we", "us" or "our". Any person who accesses or uses the Platform may be referred to as a "user", "you" or "your".

By registering, accessing, funding or using the Platform, creating or viewing advertisements, purchasing a subscription, participating in a game, referring users, creating or responding to a Market request, accepting or completing a transaction, or requesting a withdrawal, you acknowledge that you have read, understood and agreed to these Terms and any applicable feature-specific rules.

If you do not agree to these Terms, you must not use the Platform.

These Terms operate together with the applicable Privacy Policy, advertising rules, subscription rules, game rules, withdrawal rules, referral conditions, Market rules, promotional terms and other policies published by Plexus Connect.

1. ABOUT PLEXUS CONNECT

Plexus Connect is a digital marketing, advertising, technology and online services platform operated as a marketing business in Nigeria.

The Platform brings together advertising services, digital engagement, interactive games, marketplace functionality and promotional reward opportunities.

Depending on availability, location, eligibility and applicable rules, the Platform may provide:

Ordinary advertisement viewing and Paid-To-Click activities.
Digital advertising and campaign creation.
Subscriber-only advertising and rewarded viewing.
Subscription plans and membership benefits.
Instant Millionaire.
Dash & Cash.
Battle Mode and supported multiplayer games.
Referral and promotional reward programmes.
Plexus Market for buyer requests and seller offers.
Website development and technology-related services.
Internal wallet, account credits and reward balances.
Withdrawals and other supported account functions.
Other products, services and features introduced by Plexus Connect.

Plexus Connect is not presented as an investment platform, savings scheme, securities offering, bank, deposit-taking institution or investment company.

Payments for subscriptions, advertising, games, marketplace services or other features are payments for the relevant service or participation. They must not be interpreted as investments that guarantee financial returns.

Plexus Connect does not guarantee profits, passive income, fixed returns, a particular level of earnings, recovery of subscription fees or success in any game, advertising campaign or referral programme.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

Users must provide accurate, complete and current information when registering.

You are responsible for:

Maintaining the confidentiality of your login credentials.
Securing your account and devices.
Ensuring that information supplied to Plexus Connect is accurate.
Updating outdated or incorrect information.
Activities performed through your account, subject to applicable law and any proven Platform security failure.
Complying with these Terms and the rules applicable to the features you use.

Users must not:

Create multiple accounts to obtain additional rewards or benefits.
Register using false identities or misleading information.
Create accounts on behalf of others without authorization.
Sell, rent, lend or transfer accounts.
Access another user's account without authorization.
Circumvent suspensions, limits or eligibility requirements.
Use false identities or accounts to manipulate advertising, games, referrals, subscriptions or Market transactions.

Plexus Connect may require identity verification or Know Your Customer (KYC) checks where reasonably necessary for security, fraud prevention, withdrawals, marketplace transactions or legal compliance.

Access to a particular feature may require additional eligibility checks. Feature-specific requirements will apply alongside these Terms.

3. OPTIONAL SUBSCRIPTIONS

Subscriptions are optional unless a specific feature expressly states otherwise. Users may continue to access available non-subscription features under the applicable free-user rules.

A subscription provides access to the benefits stated in the selected plan. Depending on the plan and current Platform rules, these benefits may include:

Access to eligible subscriber-only advertising activities.
Bonus views for creating subscriber advertisements.
Eligibility to earn rewards from valid subscriber-ad views.
Instant Millionaire subscription credit benefits.
Dash & Cash access or benefits.
Access to eligible battles and other subscriber features.
Other disclosed membership benefits.

The available plans, prices, durations, benefits, eligibility requirements and renewal conditions will be displayed through the subscription interface.

A subscription may have a duration of 30 days or less, depending on the plan offered at the time of purchase. The applicable duration begins according to the subscription interface and its stated activation rules.

Users are responsible for reviewing the plan details before paying. A subscription purchase does not guarantee that a user will recover its price or earn a particular amount.

3.1 Subscription activation

A subscription becomes active according to the Platform's payment and activation process. A payment that fails or remains unconfirmed may not activate the selected plan.

Plexus Connect may investigate duplicate payments, payment reversals, technical errors or suspected fraud.

3.2 Subscription benefits

Subscription benefits are limited to those described for the purchased plan. Different plans may provide different credit allocations, bonus views, access periods or other benefits.

A benefit described as a credit, bonus view, promotional allowance or game credit is not automatically cash and is not automatically withdrawable.

Unless expressly stated otherwise, subscription benefits:

Are subject to applicable usage limits.
Cannot be transferred between users.
Cannot be sold or exchanged for cash.
May be subject to expiry or use-period restrictions.
May be withheld or reversed if obtained through fraud, error or abuse.

3.3 Subscription expiry

When a subscription expires, access to subscription-dependent features or benefits may end or become restricted. Previously earned balances remain subject to their own eligibility, withdrawal and verification rules.

Any saved game progress, bonus views, game credits or unused subscription benefits will be handled according to the relevant feature rules disclosed by Plexus Connect.

3.4 Renewals and cancellation

Subscriptions renew only where the applicable interface or purchase arrangement expressly provides for renewal.

Users should review the displayed renewal and cancellation conditions before purchasing. Unless applicable law or an expressly stated Platform policy provides otherwise, completed subscription payments are not refundable merely because a user stops using the service or does not use all available benefits.

Nothing in this section excludes refund rights that cannot lawfully be excluded.

4. ORDINARY ADVERTISING AND PTC ACTIVITIES

Plexus Connect may allow users to create advertising campaigns and other users to view eligible advertisements.

Ordinary advertising and PTC activities may be available to free users without requiring a subscription, subject to the applicable limits and campaign rules.

Advertisers may be charged for advertising placement, campaign activation, rewarded views or other advertising services according to the applicable pricing displayed on the Platform.

The Platform may offer advertisements that remain available for viewing after a paid-reward allocation or promotional period ends. Where applicable, an advertisement may remain visible without continuing to generate viewing rewards.

The status of each campaign, its reward eligibility, duration, budget and viewing conditions will be determined by the campaign settings and applicable Platform rules.

Plexus Connect does not guarantee:

A fixed number of available advertisements.
A fixed number of daily views.
Continuous advertising availability.
A particular number of clicks or impressions.
A fixed daily or monthly income.
A particular advertising result.

A displayed daily viewing limit is a maximum permitted opportunity, not a guarantee that the user will receive that number of advertisements.

4.1 Qualified views

A viewing reward is payable only when the view satisfies the applicable qualification and verification requirements.

Plexus Connect may reject, withhold or reverse views that are:

Automated or artificially generated.
Repeated in violation of the rules.
Generated by bots, scripts or unauthorized software.
Manipulated to inflate campaign statistics.
Generated through self-viewing where prohibited.
Otherwise invalid under the applicable campaign rules.

Users must not earn rewards from their own advertisements where self-viewing is prohibited or create artificial activity to increase views.

4.2 Advertiser responsibilities

Advertisers are responsible for the accuracy, legality and content of their advertisements, including claims about products, services, prices, promotions and expected outcomes.

Advertisers must have the necessary rights and permissions to use submitted text, images, videos, trademarks and other materials.

Plexus Connect may approve, reject, pause, restrict or remove campaigns that violate Platform rules, applicable law, third-party rights or reasonable safety requirements.

5. SUBSCRIBER ADVERTISING

Plexus Connect may provide a separate advertising feature through which eligible subscribers can create advertisements for other eligible subscribers to view.

Subscriber advertising is distinct from ordinary advertiser campaigns. Its prices, audience, viewing rewards, allowances and eligibility requirements may differ.

A subscriber may receive a specified number of bonus paid views as part of a subscription. The number of bonus views, their use conditions and the applicable reward rate will be displayed in the relevant subscription or advertising interface.

A bonus view allowance represents a limit on eligible rewarded views. It does not guarantee that all views will be completed within a particular time.

5.1 Rewarded subscriber views

Where subscriber ads carry a viewing reward, an eligible viewer may earn the stated reward for each valid view, subject to the campaign's funded limit.

Unless the applicable feature expressly states otherwise:

Each eligible user may receive credit for viewing a particular advertisement only once.
Repeated views by the same user do not generate additional rewards for that advertisement.
The creator's available paid-view allowance or campaign budget determines how many rewarded views may be completed.
A campaign stops generating paid-view rewards when its applicable allowance or funded limit is exhausted.
An advertisement may remain available without rewards where the feature permits it.
Rewards are subject to verification and anti-fraud checks.

Plexus Connect may implement technical controls to prevent repeat views, self-viewing, duplicate accounts, automated traffic and other manipulation.

5.2 Funding and reward limits

Subscriber-ad rewards must be governed by the applicable funded allocation, campaign budget and Platform rules.

A subscription bonus view is not an unlimited promise by Plexus Connect to fund any number of views or rewards.

The applicable reward amount, number of eligible views, campaign limits and any additional charges will be shown through the relevant feature before the user completes a chargeable action.

Where a reward is funded from a defined subscription allocation, Plexus Connect may enforce that allocation through campaign limits, reward-pool limits or other controls.

Users must not assume that a reward rate, allowance or promotional benefit will remain unchanged for future subscriptions or campaigns.

5.3 Additional views and purchases

Where offered, users may purchase additional subscriber-ad views or campaign capacity at the price displayed by the Platform.

A purchase of additional views does not guarantee immediate delivery, a particular audience response or commercial results. Campaign delivery depends on eligible audience availability and applicable rules.

5.4 No guaranteed advertising performance

Subscriber advertisements are promotional tools. Plexus Connect does not guarantee that an advertisement will generate sales, customers, leads, profit or other commercial outcomes.

Users must not create misleading advertisements, advertise unlawful products or services, or make false claims about Plexus Connect or the rewards available.

6. FREE ADVERTISING CREDITS AND PROMOTIONAL ALLOWANCES

Plexus Connect may grant promotional advertising credits, bonus views, game credits or other non-cash benefits.

Unless expressly stated otherwise, promotional credits and allowances:

Have no cash value.
Are not withdrawable.
Cannot be transferred to another user.
May only be used for permitted Platform activities.
May be limited to particular features or campaigns.
May expire under the displayed promotional conditions.
Do not automatically renew.
May be revoked if obtained through fraud, error or abuse.

Promotional credits do not constitute cash deposits or guaranteed payments.

Plexus Connect may modify, suspend or discontinue promotional programmes in accordance with applicable law and the stated promotional conditions.

7. INSTANT MILLIONAIRE

Instant Millionaire is a question-based game offered under the rules displayed through the Platform.

The game may require an application or entry fee. The minimum application fee may be ₦100 where that fee is offered in the applicable game interface. The actual fee and entry conditions displayed at the time of participation control.

The game may require a participant to answer 10 questions. The number of questions, passing conditions, time limits, difficulty, number of attempts and other mechanics will be stated in the applicable game interface.

Where the advertised game rules provide for a winner to receive three times the application fee, that prize is subject to:

Correctly satisfying the stated winning conditions.
Completion of the required questions.
The applicable eligibility and attempt rules.
Verification of the result.
The official prize and payout rules for that game.

The three-times amount is a game prize under the applicable rules. It is not a guaranteed return on an application fee, and paying the fee does not guarantee winning.

7.1 Subscription game credits

Eligible subscribers may receive Instant Millionaire game credits or a credit multiplier, including a ×1.5 multiplier where expressly offered by the selected plan.

The multiplier applies only to the credit or other benefit identified in the applicable subscription rules. It does not automatically multiply cash prizes, guarantee a win or increase the prize payout unless the official game rules expressly state so.

Game credits are subject to the applicable use conditions and are not automatically withdrawable cash.

7.2 Attempts and results

The Platform may impose attempt limits, cooldown periods, eligibility rules or other conditions. Users must not manipulate the game, exploit technical errors, use unauthorized automation or interfere with question delivery, scoring or result verification.

Plexus Connect may investigate suspicious results and may withhold or correct a result where there is reasonable evidence of fraud, technical error or a breach of the game rules.

7.3 Prizes

Prizes are determined by the applicable game rules and verified results. No participant is guaranteed to win.

Any prize amount, payment method, eligibility requirement or payout condition will be governed by the rules displayed for the relevant game.

Plexus Connect may correct erroneous game credits or results and may reverse rewards generated through cheating, exploitation or technical malfunction.

8. DASH & CASH

Dash & Cash is an interactive running game in which players progress through the game, collect items or coins and may qualify for game-related rewards under the applicable rules.

The game's mechanics, scoring, save and resume functions, fees, access periods, conversion rules and reward eligibility are displayed through the game interface or its published rules.

8.1 Game items and balances

Coins, points, distance, scores, game balances and other in-game indicators are not automatically cash and are not automatically withdrawable.

A game balance may be converted or credited to another Platform balance only where the applicable game rules expressly permit it and the stated eligibility conditions are met.

Where conversion depends on an active subscription, active referrals, a conversion fee or another condition, the user must satisfy that condition before conversion.

8.2 Saving and resuming progress

Where the game offers a save, pause or resume feature, any applicable fee and save conditions will be displayed before the user confirms the action.

Saved progress may be subject to restrictions, including limits on the number of saved runs, replacement of a previous save, subscription status or other game rules.

If subscription expiry restricts access to saved progress, the applicable game rules will determine whether and how the user can resume. A saved run does not guarantee a prize or cash conversion.

8.3 Game integrity

Users must not exploit bugs, use bots, manipulate scores, interfere with game operation or falsely claim rewards.

Plexus Connect may invalidate manipulated results, reverse erroneous credits, restrict access or suspend accounts where reasonably necessary.

9. BATTLE MODE AND MULTIPLAYER GAMES

Plexus Connect may offer private or other supported battles in games such as Instant Millionaire, Dash & Cash, Ludo, chess, Scrabble or additional games introduced by the Platform.

Battle features may allow users to challenge friends or other eligible participants.

Each battle may have its own rules concerning:

Entry fees or stakes.
Eligibility and participation.
Game format and duration.
Scoring and victory conditions.
Prize allocation.
Fees or deductions.
Cancellation and refunds.
Disconnections and technical failures.
Result verification and disputes.

The rules displayed for a particular battle govern that battle.

9.1 Entry fees and prizes

Where a battle requires an entry fee or stake, the applicable amount and prize arrangement will be disclosed before participation.

A participant is not guaranteed to win or recover the entry fee.

Any winner's prize is subject to the official battle rules, valid completion, result verification and applicable fees.

Plexus Connect may void a result or suspend a payout where there is reasonable evidence of cheating, collusion, unauthorized assistance, account manipulation or technical error.

9.2 Disconnections and disputes

The applicable game rules will determine how disconnections, abandoned matches, ties, delays and technical failures are handled.

Users must not intentionally disconnect, collude with opponents or manipulate a battle to obtain an unfair advantage.

Plexus Connect may review relevant game records and apply the available remedies under the battle rules.

9.3 Legal and eligibility restrictions

Access to paid battles, stakes or prize-based games may be restricted according to applicable law, location, age, payment arrangements or other eligibility requirements.

Plexus Connect may suspend or modify a battle feature where necessary for legal compliance, security or operational reasons.

10. REFERRAL PROGRAMMES

Referral programmes are optional and subject to the applicable campaign rules.

Plexus Connect may offer rewards for introducing eligible new users or qualifying subscribers. A reward is earned only when the relevant qualifying conditions have been satisfied.

Conditions may include:

Successful registration.
New-user eligibility.
Subscription purchase or qualifying activity.
Account verification.
Completion of any applicable review.
Compliance with campaign limits and deadlines.
Anti-fraud and security checks.

The reward amount, payment conditions, qualifying actions and promotional period will be displayed in the applicable referral programme.

A referral link being used does not, by itself, guarantee a reward.

10.1 Prohibited referral conduct

Users must not:

Refer themselves.
Create fake or duplicate accounts.
Manipulate referral attribution.
Use bots or automated registrations.
Spam referral links.
Make false or misleading claims.
Promise guaranteed earnings or guaranteed returns.
Misrepresent Plexus Connect's services, prizes, rewards or business model.
Engage in deceptive recruitment or unlawful promotional activity.

Plexus Connect may review, withhold, reverse or cancel rewards associated with invalid or fraudulent referrals.

10.2 Referral changes

Referral rewards may vary by campaign. Plexus Connect may introduce, modify, suspend, replace or discontinue a referral programme according to its published conditions and applicable law.

A user has no automatic entitlement to a future referral rate, bonus or promotional campaign.

11. POTENTIAL EARNINGS AND PROMOTIONAL CLAIMS

Plexus Connect may display estimates, examples, calculators or illustrations of potential referral rewards, viewing rewards, game prizes or other benefits.

Any figure described as "potential earnings", "possible rewards", "up to", an estimate or an illustration is conditional on the stated assumptions and qualifying requirements.

Potential earnings are not guaranteed income, a promise of payment or a guarantee that a user will recover subscription, application, advertising or other fees.

Users should distinguish between:

Withdrawable cash.
Pending rewards.
Total account balances.
Non-cash game credits.
Promotional advertising allowances.
Potential prizes.
Estimated rewards that depend on future activity.

Plexus Connect will determine actual eligibility and payable rewards according to verified activity, the applicable feature rules and the user's available balance.

Users must not make false or misleading earnings claims when promoting Plexus Connect.

12. WALLET, ACCOUNT CREDITS AND BALANCES

Plexus Connect may provide internal wallet balances, available balances, reward balances, game credits, advertising credits and other account-credit facilities.

These balances serve different purposes and may have different rules.

A Platform wallet is an internal accounting facility. It is not a bank account, savings account, investment account or deposit account.

12.1 Wallet top-ups

Payments made to fund a Platform wallet are wallet top-ups for approved Platform use.

Wallet top-ups:

Are subject to applicable payment processing requirements.
Are not automatically withdrawable.
May be used only for features that accept the relevant balance.
May be delayed, restricted or investigated where fraud, chargebacks, payment reversals, unauthorized activity or technical errors are suspected.
Are subject to refund rights required by applicable law.

A top-up must not be treated as an investment or as a promise of financial returns.

12.2 Total balance

Total Balance may include recorded rewards, promotional credits, pending amounts or other account credits.

A Total Balance does not necessarily represent money that is immediately available for withdrawal.

12.3 Available balance

Available Balance represents the portion of an account balance that currently satisfies the Platform's withdrawal eligibility rules.

Only amounts designated as Available Balance may be eligible for withdrawal, subject to verification, applicable fees and other conditions.

12.4 Credits and corrections

Plexus Connect may correct erroneous entries, duplicate credits, technical errors and balances generated by invalid activity.

A displayed balance does not create an unconditional right to receive cash where the underlying amount is a non-cash credit, invalid reward or amount not eligible for withdrawal.

13. WITHDRAWALS

Withdrawals are subject to the user's Available Balance, applicable verification requirements, anti-fraud checks, payment procedures and published withdrawal rules.

The minimum withdrawal amount, processing fee, supported currency, withdrawal methods and processing schedule will be displayed through the relevant withdrawal interface or applicable Platform rules.

Users may be required to:

Have sufficient Available Balance.
Complete account verification or KYC.
Provide accurate payment information.
Satisfy applicable eligibility conditions.
Comply with account security requirements.
Provide additional information reasonably required to investigate suspicious activity.

Plexus Connect may review withdrawal requests, verify reward sources, request additional information, delay processing during investigations, reject invalid requests or restrict withdrawals associated with suspected abuse.

Processing times may vary due to verification, payment providers, weekends, public holidays, operational circumstances or other relevant factors.

Wallet deposits, subscription payments, advertising credits and game credits are not automatically withdrawable merely because they appear in an account.

Plexus Connect will not use this section to exclude rights that users cannot lawfully waive.

14. ADVERTISING SERVICES FOR BUSINESSES

Plexus Connect may provide advertising placement, campaign creation, digital promotion, website development and technology-related services.

Advertising prices, duration, placement, view limits, reward allocation and other conditions will be disclosed through the applicable service or campaign interface.

Unless expressly stated otherwise, advertising service fees are charges for the agreed service, not investments or deposits.

Plexus Connect does not guarantee:

Sales or revenue.
Leads or conversions.
Traffic or engagement.
Customer acquisition.
Profit or business growth.
A specific number of clicks or views unless expressly included in a paid and defined campaign commitment.
A particular commercial result.

Advertisers are responsible for the legality, accuracy and substantiation of their advertising claims and for complying with relevant laws and third-party rights.

Plexus Connect may reject, restrict, pause or remove campaigns that violate these Terms, applicable law or reasonable Platform requirements.

Refunds, cancellations and campaign adjustments are governed by the applicable service terms and any mandatory legal rights.

15. PLEXUS MARKET

Plexus Market is a buyer-request and seller-offer marketplace feature that enables eligible users to post requests for products or services and allows eligible sellers to respond with offers.

Plexus Market provides technological infrastructure and transaction-coordination functionality. Plexus Connect does not automatically become the buyer, seller, manufacturer, service provider, insurer or owner of goods merely because a transaction occurs through the Platform.

Market access, categories, fees, eligibility, request limits and transaction procedures are governed by the applicable Market rules.

15.1 Buyer requests

Buyers may post requests describing the products or services they require, including specifications, quantity, location, target price or other relevant information.

Where required by the Market workflow, a buyer must have sufficient funds available in the relevant Platform balance before creating a request.

This requirement is intended to support genuine purchasing requests and does not guarantee that a seller will respond or that a transaction will be completed.

Plexus Connect may reject, hide, suspend or remove requests that appear fraudulent, misleading, unlawful, abusive or otherwise inconsistent with Platform rules.

15.2 Seller offers

Eligible sellers may submit offers against active requests, subject to applicable conditions.

Submitting an offer does not guarantee selection. Buyers may review available offers and accept an eligible offer according to the Market workflow.

Once an offer is accepted, the applicable transaction obligations and fees may take effect. Competing offers may be closed or rejected according to the feature's rules.

15.3 Market fees

Plexus Connect may charge seller application fees, transaction fees, cancellation fees or other disclosed Market service charges.

The amount, timing, responsible party and deduction method for any fee will be displayed before the relevant chargeable action is completed.

Where seller applications are free, that condition applies only as stated in the applicable Market rules.

Plexus Connect may change Market fees by publishing updated pricing or rules, subject to applicable law.

15.4 Market statuses and expiry

A Market transaction may pass through stages such as:

Open.
Seller offers received.
Seller selected.
Accepted.
In progress.
Completed.
Confirmed.
Disputed.
Cancelled.
Expired.

The exact statuses and sequence may vary by feature.

Market requests may have an expiration period displayed in the Market interface. An expired request may be removed from active listings and does not guarantee compensation or completion.

15.5 Cancellation

A buyer may generally cancel an open request before accepting a seller offer, subject to the applicable Market rules.

After an offer has been accepted, cancellation may be subject to transaction status, applicable fees, evidence, dispute procedures and other conditions.

Plexus Connect may restrict users who repeatedly create and cancel requests in a manner that constitutes abuse or manipulation.

16. MARKET FUNDS AND TRANSACTION SUPPORT

Where the Market workflow requires buyer funds to be secured, the applicable funds may be locked or restricted within the Platform while the transaction is in progress.

Locked funds may not be available for ordinary withdrawal or other Platform use until an applicable release condition occurs.

Release conditions may include:

Buyer confirmation of completion.
An applicable automatic release condition.
Cancellation under the Market rules.
Resolution of a dispute.
Another disclosed Platform-defined condition.

Plexus Connect does not pay interest on locked Market funds.

References to "escrow" describe the relevant transaction workflow or fund-restriction functionality. Such wording does not, by itself, establish that Plexus Connect is a licensed bank, independent escrow company, insurer or financial institution.

Plexus Connect will operate transaction and payment functionality subject to applicable law and relevant service-provider requirements.

17. BUYER AND SELLER RESPONSIBILITIES

Buyers must:

Provide accurate request details.
Set reasonable specifications and prices.
Review seller offers carefully.
Communicate clearly.
Review performance before confirming completion.
Avoid false complaints or fraudulent disputes.

Sellers must:

Provide accurate product or service information.
Honour accepted transactions.
Deliver the agreed product or service.
Avoid false completion claims.
Follow applicable Market procedures.
Cooperate with reasonable dispute investigations.

All Market participants must act honestly, comply with applicable law, respect intellectual property rights and avoid prohibited goods and services.

Plexus Connect does not guarantee that another user will perform as expected or that a product or service will meet every user's expectations.

18. MARKET DISPUTES

A buyer or seller may initiate a dispute where the applicable Market workflow permits it.

Plexus Connect may request evidence, including messages, screenshots, transaction records, delivery evidence, service records, documents or other information reasonably required to investigate the matter.

Users must provide truthful and complete information. Fabricated evidence, manipulated screenshots, fraudulent documents and knowingly false claims are prohibited.

Plexus Connect may review the available evidence and, according to the applicable rules:

Release applicable locked funds to the seller.
Return applicable locked funds to the buyer.
Cancel a transaction.
Request additional evidence.
Restrict one or both accounts.
Take other reasonable action permitted by the Platform rules and applicable law.

The internal Market dispute process does not make Plexus Connect a court or automatically make it an independent arbitrator.

Nothing in these Terms prevents users from exercising rights available under applicable law.

19. PROHIBITED GOODS, SERVICES AND ACTIVITIES

Users must not use Plexus Connect for unlawful, fraudulent, deceptive or abusive activity.

Prohibited activity includes:

Fraud, identity theft or money laundering.
Terrorist financing.
Fake or duplicate accounts used to obtain benefits.
Artificial or fraudulent advertisement views.
Manipulated referrals or rewards.
Fake Market requests or transactions.
Counterfeit or stolen goods.
Illegal drugs or prohibited weapons.
Stolen financial information.
Unauthorized financial services.
Pyramid or Ponzi schemes.
Unlawful securities or investment offerings.
Illegal gambling or prohibited gaming activity.
Malware or malicious software.
Deceptive advertising.
Unauthorized use of intellectual property.
Circumvention of account restrictions.
Chargeback abuse.
False claims about Plexus Connect.
Attempts to exploit technical vulnerabilities.
Interference with Platform operations.
Any other activity prohibited by applicable law or Platform rules.

Plexus Connect may remove content, reject transactions, restrict access or take other action where reasonably necessary to enforce these rules.

20. FRAUD PREVENTION AND INVESTIGATIONS

Where Plexus Connect reasonably suspects fraud, abuse, manipulation, unauthorized activity or a violation of these Terms, it may:

Suspend or restrict an account.
Restrict feature access.
Restrict withdrawals.
Hold relevant balances pending investigation.
Reverse invalid rewards or erroneous credits.
Remove or restrict Market transactions.
Require additional verification.
Suspend or terminate an account.
Preserve relevant records.
Report activity to appropriate authorities where required or permitted by law.

Plexus Connect may use technical, behavioural, transaction and account information to detect suspicious activity, subject to applicable privacy requirements.

Plexus Connect is not required to disclose investigation methods where doing so could compromise security, fraud prevention or legal compliance.

Any action taken under this section remains subject to applicable law and any mandatory user rights.

21. ACCOUNT SUSPENSION AND TERMINATION

Plexus Connect may suspend, restrict or terminate an account where reasonably necessary, including when:

These Terms are violated.
Fraud or abuse is suspected.
False information is provided.
Security risks arise.
Verification requirements are not satisfied.
Payment reversals or chargebacks occur.
Market abuse is detected.
Legal or regulatory requirements require action.
Platform systems are manipulated.
A user repeatedly abuses support or dispute procedures.

Suspension or termination may result in loss of access to Platform features.

Rewards and balances associated with suspected fraud may be withheld or investigated. Valid funds and balances will be handled in accordance with applicable law, the nature of the balance and the relevant Platform rules.

Where legally permissible, Plexus Connect may retain records required for security, accounting, legal, regulatory, dispute or fraud-prevention purposes.

22. USER CONTENT AND INTELLECTUAL PROPERTY

Users are responsible for content they upload, publish, submit or communicate through the Platform.

Users must not submit content that is unlawful, fraudulent, defamatory, deceptive, malicious, infringing or otherwise prohibited.

Plexus Connect and its licensors retain their rights in the Platform's software, branding, logos, designs, content, interfaces, systems, trademarks and other proprietary materials, except where ownership belongs to a third party.

Users must not copy, reproduce, modify, distribute, sell, reverse engineer or commercially exploit Platform materials without appropriate authorization.

Users retain ownership of content they lawfully submit. By submitting content, users grant Plexus Connect the permissions reasonably necessary to host, process, display, distribute, moderate and operate that content through the Platform and the relevant services.

Users must have the necessary rights and permissions for the content they submit.

Plexus Connect may remove or restrict content that violates these Terms, applicable law or third-party rights.

23. PRIVACY AND DATA PROTECTION

Plexus Connect may collect and process information necessary to register accounts, provide services, process transactions, verify users, prevent fraud, maintain security, investigate disputes and comply with applicable law.

Information may be used for legitimate Platform purposes, including account administration, service delivery, security, customer support, transaction records and feature operation.

Users should review the applicable Privacy Policy for further information about data collection, use, retention, sharing and their rights.

Users must provide accurate information and must not submit another person's personal information without a lawful basis or appropriate authorization.

Plexus Connect will handle personal information in accordance with its applicable Privacy Policy and relevant data protection requirements.

24. THIRD-PARTY SERVICES

Plexus Connect may rely on third-party payment processors, hosting providers, advertising services, telecommunications providers, technology providers and other external services.

Third-party services may have separate terms and privacy policies.

Plexus Connect is not responsible for third-party delays, outages, errors or failures beyond its reasonable control, subject to applicable law.

The use of a third-party service does not automatically mean that Plexus Connect endorses every product or service offered by that provider.

25. PLATFORM AVAILABILITY AND CHANGES

Plexus Connect may modify, suspend, replace or discontinue Platform features, games, advertising systems, subscription benefits, reward structures, referral programmes, Market functions, fees or services.

The Platform may be unavailable because of maintenance, technical failures, security incidents, internet or telecommunications failures, payment-provider interruptions, third-party outages, government action or other circumstances beyond reasonable control.

Plexus Connect does not guarantee uninterrupted or error-free operation.

Where a change materially affects a paid service or an existing transaction, Plexus Connect will apply the relevant published terms and any rights required by applicable law.

26. TAXES

Users are responsible for determining and complying with applicable tax obligations arising from their use of Plexus Connect, including obligations relating to rewards, advertising activities, Market transactions, business income or other payments.

Plexus Connect does not provide individual tax, accounting or legal advice.

Where required by law, Plexus Connect may apply relevant reporting, withholding or disclosure requirements.

27. DISCLAIMERS

To the fullest extent permitted by applicable law, the Platform and its services are provided on an "as is" and "as available" basis.

Plexus Connect does not warrant that:

The Platform will always be available.
All information will always be accurate or current.
Advertisements or reward opportunities will always be available.
Any user will earn a particular amount.
Any user will win a game or battle.
A Market request will receive offers.
A Market transaction will be completed.
Another user will perform as expected.
Advertising will generate sales, leads or profit.
A subscription will be recovered through rewards or other benefits.

Users are responsible for their decisions and use of the Platform.

Nothing in these Terms excludes any warranty, duty or right that cannot lawfully be excluded.

28. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Plexus Connect and its owners, operators, employees, contractors, affiliates, representatives and service providers shall not be liable for indirect, incidental, special or consequential losses arising from use of the Platform.

This may include, where legally permissible, loss of profits, business opportunities, anticipated earnings, advertising results, Market opportunities, or losses caused by third parties, payment delays, internet interruptions, technical failures or user errors.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

29. INDEMNIFICATION

To the extent permitted by law, users are responsible for claims, losses, liabilities, damages, costs and expenses arising from their:

Violation of these Terms.
Unlawful conduct.
Misuse of the Platform.
Market transactions.
Advertising content.
Infringement of third-party rights.
Fraud or abuse.
Violation of applicable law.

This section applies only to the extent permitted by applicable law and does not remove rights that cannot lawfully be waived.

30. NO EMPLOYMENT, PARTNERSHIP OR INVESTMENT RELATIONSHIP

Use of Plexus Connect does not create an employment relationship, partnership, joint venture, agency relationship, fiduciary relationship or investment relationship unless expressly agreed in writing.

Users participate independently and are responsible for their own activities.

Referral rewards do not, by themselves, create employment or agency status. Users must not represent themselves as authorized agents, employees or official representatives of Plexus Connect unless formally authorized.

Plexus Market participants remain responsible for their underlying commercial dealings, subject to the specific obligations expressly provided by the Platform's transaction workflow.

31. FORCE MAJEURE

Plexus Connect shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, internet failures, telecommunications failures, cybersecurity incidents, power failures, payment network failures, strikes, epidemics, third-party provider failures or other events beyond reasonable control.

This section does not remove obligations that cannot lawfully be excluded.

32. AMENDMENTS

Plexus Connect may amend these Terms and applicable Platform policies from time to time.

Updated Terms become effective upon publication unless a different effective date is stated or applicable law requires another process.

Users should review the current Terms and applicable feature rules periodically.

Where required by applicable law, Plexus Connect will provide notice or obtain consent for material changes.

Continued use after updated Terms become effective constitutes acceptance where such acceptance is legally valid.

33. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.

The remaining provisions shall continue in effect.

34. WAIVER

Failure by Plexus Connect to enforce a provision does not constitute a waiver of its right to enforce that provision or another provision in the future.

Any waiver must be expressly made by an authorized representative of Plexus Connect.

35. ENTIRE AGREEMENT

These Terms, together with the applicable Privacy Policy, subscription rules, advertising policies, game rules, withdrawal rules, referral rules, Market rules and other policies expressly incorporated into them, constitute the agreement governing use of Plexus Connect.

They supersede prior representations or understandings concerning the same subject matter to the extent permitted by applicable law.

Where a feature-specific rule conflicts with these general Terms, the feature-specific rule will govern that feature to the extent of the conflict, provided it is consistent with applicable law.

36. GOVERNING LAW AND DISPUTES

These Terms are governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that cannot lawfully be excluded.

Disputes relating to these Terms or use of Plexus Connect will be subject to the jurisdiction of the competent courts of Nigeria, subject to applicable law.

Nothing in this section prevents a user from exercising a mandatory legal right or using a dispute-resolution process required by applicable law.

38. ACKNOWLEDGEMENT AND ACCEPTANCE

By registering for, accessing, funding or using Plexus Connect, you acknowledge that:

Plexus Connect is a digital marketing, advertising, technology and online services platform.
Subscription is optional except where a particular feature expressly requires it.
Access to features and benefits depends on applicable eligibility and Platform rules.
Ordinary advertising and subscriber advertising are separate features with potentially different prices, audiences and reward rules.
Advertising availability and rewards are not guaranteed.
Subscriber-ad rewards depend on valid views, campaign limits and the applicable funded allocation.
Each subscriber-ad may be subject to a one-view-per-user reward limit.
Instant Millionaire is governed by its application, question, scoring, prize and eligibility rules.
A stated three-times application-fee prize is conditional on satisfying the applicable winning requirements.
